‍

2. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the Service. By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

If you access the Service through a Customer, that Customer may have a separate agreement with Strove (for example, a Master Services Agreement). That agreement governs Strove’s relationship with the Customer. These Terms govern your individual use of the Service.

‍

3. The Service

3.1 Purpose and scope

The Service provides wellbeing and engagement tools that may include activity tracking, wellbeing challenges, nutritional guidance, preventive health pathways, content, AI-powered insights, rewards, and reporting.

‍

3.2 Not medical advice

The Service is provided for wellbeing and engagement purposes only. It does not provide medical advice, diagnosis, treatment, or clinical services. Strove is not a healthcare provider and use of the Service does not create a doctor-patient or clinician-patient relationship.

You should consult a qualified healthcare professional for any medical questions or concerns, and before making health-related decisions or beginning new exercise or nutrition programmes.

‍

3.3 AI features

Some Service features use artificial intelligence to generate wellbeing insights, behavioural nudges, meal analysis, or recommendations.

AI outputs may be inaccurate, incomplete, or inappropriate, and must not be relied upon as medical, psychological, or clinical advice. Strove monitors AI features for accuracy and appropriateness for quality assurance.

‍

4. Eligibility and Account Registration

4.1 Eligibility

You must be at least 18 years old and have legal capacity to enter into these Terms.

‍

4.2 Account information

You agree to provide accurate, current, and complete information when creating an Account and to keep your Account information up to date.

‍

4.3 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify Strove promptly if you suspect unauthorised access or a security incident involving your Account.

‍

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

  • Do not upload or transmit malicious code, viruses, or harmful content.
  • Do not attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from the Service, except to the extent permitted by law.
  • Do not circumvent or attempt to circumvent security features, access controls, usage limits, or restrictions.
  • Do not interfere with or disrupt the integrity or performance of the Service.
  • Do not use the Service to harass, abuse, or harm others, or to infringe third-party rights.
  • Do not misrepresent wellbeing insights or outputs as medical advice or a clinical assessment.
  • Do not access or collect data from the Service using bots, scrapers or other automated means, except through integrations Strove provides.
  • Do not share your Account or login credentials with anyone else, or use another person’s Account.

Strove may suspend or terminate access to the Service for violations of this section or to protect users, the Service, or Strove’s legal obligations.

Activity integrity

You must only record genuine activity that you have performed yourself. In particular, you must not:

  • upload or sync activities that you did not perform yourself;
  • upload activities tracked while travelling in a motorised vehicle;
  • modify activity data or files before uploading or syncing them;
  • record normal day-to-day movement or sedentary time as a workout or activity;
  • classify an activity as a different type to earn more points;
  • use devices, apps or tools designed to simulate or inflate activity.

If Strove reasonably believes you have breached this section, Strove may, without liability to you, remove the affected activities, cancel the Coins earned from them, cancel or withhold any rewards obtained with or unredeemed from those Coins, remove you from challenges or leaderboards, and suspend or terminate your Account.

‍

6. User Content and Permissions

6.1 Your responsibility for User Content

You are responsible for the User Content you submit and for ensuring that you have the right to submit it. You must not submit User Content that violates law or infringes the rights of others.

‍

6.2 Licence to operate the Service

You grant Strove a limited, non-exclusive, worldwide licence to host, store, process, transmit, and display User Content solely to operate, provide, secure, and improve the Service and as otherwise described in our Privacy Policy and any applicable Customer programme settings. Strove does not use information that identifies you to train AI models.

‍

6.3 Anonymised Data

Strove may de-identify and aggregate data derived from use of the Service so that it does not identify you and cannot reasonably be re-identified (“Anonymised Data”). Anonymised Data is not personal information. Strove owns all rights in Anonymised Data and may use it for any lawful purpose, both during and after your use of the Service. Strove will not attempt to re-identify Anonymised Data and will require any third party that receives it not to do so.

‍

7. Customer Programmes

7.1 Reporting

If you access the Service through your employer, your employer receives only aggregated and anonymised reporting on participation and programme outcomes, which is never reported for groups of fewer than 10 participants. Your employer will see information about you individually only where you opt in to a feature designed to display it (for example, leaderboards), in line with your settings and the programme rules.

If you access the Service through a medical scheme, insurer or other benefits provider, that Customer may receive individual-level information as described in the Privacy Policy and in any consent you give.

‍

7.2 Programme configuration

Certain features may be configured by the Customer. If you have questions about programme rules, you should contact your Customer (for example, your employer’s HR or wellbeing team, or your medical scheme or insurer).

‍

7.3 Coins and rewards

You may earn Coins for eligible activities as set out in the programme rules shown in the Service. Coins cannot be exchanged for cash, and cannot be sold, transferred or combined between Accounts. Strove may change how Coins are earned, the value of Coins and the rewards available, and may withdraw rewards, without affecting rewards you have already redeemed. Coins may expire as set out in the programme rules shown in the Service. Should the rewards be supplied by third-party reward partners, they will be subject to their terms; the reward partner is responsible for the goods or services it provides.

‍

7.4 End of a Customer programme

Where your access to the Service is provided through a Customer, your access ends if that Customer’s agreement with Strove ends or the Customer removes you from its programme. When your access ends, any unused Coins and unredeemed rewards earned through that programme lapse, and Strove is not liable to make them available to you, to compensate you for them, or to transfer them to another programme. Strove may, but is not obliged to, allow a period before access ends in which you can redeem unused Coins. This section does not affect any Member-Funded Service, which is governed by Section 10.

‍

8. Privacy, Data Protection Agreements, and Sub-Processors

8.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, Cookie Policy, and Wellbeing Disclaimer (together, the “Privacy Documents”). The Privacy Documents explain how Strove collects, uses, shares, and protects personal information.

‍

8.2 Controller/processor roles

Depending on how the Service is provided, Strove may act as a controller or a processor. Where the Service is provided through a Customer, the Customer is typically the controller, and Strove acts as a processor on the Customer’s documented instructions.

‍

8.3 Data Protection Agreements with Customers

For enterprise Customers, Strove enters into DPAs (or equivalent terms) covering processing of personal data, including confidentiality, security measures, assistance with data subject rights requests, incident notification, and audit/assessment rights as required by applicable law. To request a DPA, contact privacy@strove.health.

‍

8.4 Sub-processors

Strove engages third-party service providers (sub-processors) to help deliver the Service. A current list of sub-processors is maintained in our Privacy Policy. Strove appoints sub-processors under written agreements requiring them to protect personal data, implement appropriate security measures, and process data only as instructed.

Where required by an applicable DPA, Strove provides Customers with notice of, and an opportunity to object to, new sub-processors.

‍

8.5 International transfers

Where personal data is transferred internationally, Strove implements appropriate safeguards as described in our Privacy Policy (Section 8).

‍

9. Intellectual Property

9.1 Strove IP

The Service and all related Content, features, scoring methodologies, algorithms, designs, trademarks, and documentation are owned by Strove or its licensors and are protected by intellectual property laws.

‍

9.2 Limited licence to you

Subject to these Terms, Strove grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal use (or internal business use authorised by a Customer) during the term of your access.

‍

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Strove a worldwide, perpetual, irrevocable, royalty-free licence to use and incorporate them without compensation or obligation.

‍

10. Member-Funded Services

10.1 What Member-Funded Services are

Where enabled, you may buy optional paid services, subscriptions, upgrades or add-ons directly from Strove in your personal capacity (each a “Member-Funded Service”), for example a subscription tier or additional consultation credits. A Member-Funded Service is a separate agreement between you and Strove, governed by these Terms and by any additional terms shown to you at purchase, which prevail for that Member-Funded Service if they conflict with these Terms. This applies even where the Service is branded or offered by a Customer or partner: that Customer or partner is not a party to your Member-Funded Service and is not responsible for it.

‍

10.2 Prices and payment

The price, billing frequency and what is included will be shown to you before you buy. Prices include VAT where applicable. Fees are charged in advance for each billing period to the payment method you provide. Payments are processed by Strove’s payment service provider. If a payment fails, Strove may suspend the Member-Funded Service until payment is received.

‍

10.3 Renewal and cancellation

Unless stated otherwise at purchase, a Member-Funded Service renews automatically at the end of each billing period until cancelled. You may cancel at any time through the Service. Cancellation takes effect at the end of the current billing period, and you will not be charged again. Except as required by law or stated at purchase, fees already paid are not refundable.

‍

10.4 Price changes

Strove may change the price of a Member-Funded Service by giving you at least 30 days’ notice. If you do not agree to the change, you may cancel before it takes effect.

‍

10.5 Consultations and credits

Some Member-Funded Services include consultations with qualified health and wellbeing professionals, tracked using credits. Strove facilitates access and booking; the professional is responsible for the advice given in the consultation. Unless stated otherwise at purchase, a consultation cancelled less than 12 hours before its scheduled time, or missed, uses the corresponding credit. Credits included in a subscription expire at the end of the period for which they are provided. Credits purchased separately remain valid for the period stated at purchase, which will not be shorter than the law requires.

‍

10.6 End of a related programme

If your Member-Funded Service is offered through a Customer or partner programme and that programme ends, Strove may end the Member-Funded Service by giving you reasonable notice. Strove will stop charging you from the end date and will refund any amount you have prepaid for the period after that date.

‍

11. Third-Party Services and Integrations

The Service may integrate with third-party services (for example, Strava, Garmin, Apple Health, or communications services). Your use of third-party services may be subject to their terms and policies. Strove is not responsible for third-party services, including their availability, security, or data practices.

If you connect a third-party integration, you authorise Strove to access and process data from that integration as needed to provide the feature. You can disconnect integrations at any time through your account settings.

‍

12. Suspension, Termination, and Changes

12.1 Changes to the Service

Strove may update, modify, or discontinue parts of the Service from time to time. We do not guarantee that any feature will remain available.

‍

12.2 Suspension or termination by Strove

Strove may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users.

‍

12.3 Termination by you

You may stop using the Service at any time. If you have a Member-Funded Service, you may cancel it as described in Section 10.3.

‍

12.4 Effect of termination

Upon termination, your right to use the Service ends. Personal data is handled in accordance with the Privacy Documents and any applicable Customer agreement. Subject to any applicable Customer agreement and legal retention requirements, Strove deletes personal information associated with your Account within 30 days of termination and removes backup copies within 90 days. Anonymised Data is not personal information and may be retained indefinitely under Section 6.3.

‍

13. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STROVE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

STROVE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED OUTPUTS OR WELLBEING INSIGHTS WILL BE ACCURATE OR APPROPRIATE.

‍

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STROVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STROVE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES PAID TO STROVE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF NO FEES WERE PAID, GBP 100 OR THE ZAR EQUIVALENT).

NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

‍

15. Indemnity

YOU AGREE TO INDEMNIFY AND HOLD HARMLESS STROVE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES FROM AND AGAINST CLAIMS, DAMAGES, LOSSES, LIABILITIES, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING OUT OF OR RELATED TO: (A) YOUR MISUSE OF THE SERVICE; (B) YOUR VIOLATION OF THESE TERMS; © YOUR INFRINGEMENT OF THIRD-PARTY RIGHTS; OR (D) YOUR USER CONTENT.

‍

16. Dispute Resolution and Complaints

16.1 Informal resolution

Before bringing a claim, you agree to first contact Strove at legal@strove.health to attempt to resolve the dispute informally.

‍

16.2 Courts and venue

Unless otherwise required by mandatory law, disputes will be resolved in the courts specified in Section 17.2. Nothing prevents either party from seeking injunctive relief to protect intellectual property or confidential information.

‍

17. Contracting Entity and Governing Law

17.1 Contracting entity

The Strove entity you contract with is the Strove entity that has contracted with your Customer to provide the Service. If you access the Service other than through a Customer, you contract with Strove Technologies Limited, unless you are located in South Africa, in which case you contract with Strove South Africa (Pty) Ltd.

‍

17.2 Governing law and courts

  • Strove Technologies Limited (Company No. 14041642): if you contract with this entity, these Terms are governed by the laws of England and Wales and disputes are subject to the courts of England and Wales.
  • Strove South Africa (Pty) Ltd (Registration No. 2022/482206/07): if you contract with this entity, these Terms are governed by the laws of the Republic of South Africa, and disputes are subject to the courts of South Africa.

‍

17.3 Mandatory law

Nothing in this Section 17 deprives you of the protection of mandatory consumer protection or data protection laws of the country where you live, or of any right those laws give you to bring proceedings in the courts of that country.

‍

18. Notices

We may provide notices to you by email, in-app notifications, or by posting notices within the Service. Legal notices to Strove should be sent to legal@strove.health unless your Customer agreement specifies different notice details.

‍

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email at least 14 days before changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

‍

20. General

  • Entire Agreement: These Terms, the Privacy Documents, any programme rules shown to you in the Service, and any additional terms shown to you when you buy a Member-Funded Service constitute the entire agreement between you and Strove regarding your use of the Service.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.
  • No Waiver: Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment: You may not assign these Terms without Strove’s written consent. Strove may assign or transfer these Terms to another Strove group company (including between Strove Technologies Limited and Strove South Africa (Pty) Ltd), or in connection with a merger, acquisition, reorganisation, or sale of assets, and will notify you where the assignment changes the entity you contract with.
  • Force Majeure: Strove is not liable for delays or failures due to events beyond reasonable control.
